Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of HelperOne.ai (“the App”), including any content, features, and services offered through the iOS application and the website at helperone.ai, operated by AI SEO Software Ltd, a company registered in England and Wales.

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

HelperOne.ai is a video and audio enabled AI personal assistant available on iOS. The App is powered by Open Claw on our proprietary RAILS system and runs on a dedicated, fully secure virtual private server. It provides purpose-built AI agents for specific use cases such as podcast interview prep, job search, language learning, exercise planning, and more. Your use of the App is subject to both these Terms and the acceptable use policies of our infrastructure providers, including Microsoft Azure.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

4. Subscriptions, In-App Purchases & Refunds

The App may offer subscription plans and one-time credit purchases through the Apple App Store. All transactions processed through the App Store are subject to Apple's terms and conditions, including their Licensed Application End User Licence Agreement.

All credit purchases are final and non-refundable once credits have been used. If you have purchased credits but have not used any of them, you may request a refund by contacting us at support@helperone.ai within 14 days of purchase. Unused credits within a partially used package are not eligible for a refund.

Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel subscriptions through your Apple ID account settings. No partial refunds are provided for the remaining period after cancellation.

For refunds on App Store purchases, you may also contact Apple directly via reportaproblem.apple.com.

5. Free Trial & Fair Usage

We may offer a limited free trial allowing you to use HelperOne.ai for a short period at no cost. The free trial is limited to one per account and is intended for evaluation purposes only.

The free trial includes standard setup and normal conversational use of the App. We reserve the right to limit, suspend, or revoke any free trial at any time if we determine, at our sole discretion, that usage is excessive or abusive. This includes but is not limited to automated or scripted interactions, attempts to circumvent trial limits, or any activity that places disproportionate load on our infrastructure.

If you require sustained or heavy usage, you should purchase one of our credit packages or subscribe to a plan.

6. Prohibited Activities

Our infrastructure runs on Microsoft Azure and is subject to their acceptable use policies. The App is distributed via the Apple App Store and is subject to the Apple Media Services Terms and Conditions. You agree not to use the App for any of the following purposes. Violation of any of these terms may result in immediate suspension or termination of your account without refund.

6.1 Illegal Activities

• Any activity that violates applicable local, national, or international law
• Child sexual exploitation or abuse material (CSAM) of any kind
• Distribution of pirated software, media, or other copyrighted material
• Illegal gambling operations
• Accessing the App from or on behalf of entities in embargoed countries or jurisdictions
• Human trafficking, recruitment, or exploitation

6.2 Harmful & Abusive Content

• Generating content that promotes, glorifies, or incites violence, terrorism, or violent extremism
• Hate speech or content targeting individuals or groups based on race, ethnicity, national origin, gender, gender identity, sexual orientation, religion, age, disability, or other protected characteristics
• Content depicting or promoting graphic violence, gore, or self-harm
• Non-consensual intimate content or sexual solicitation
• Sexually explicit content or pornography
• Content that threatens, stalks, defames, harasses, degrades, or intimidates any person
• Content that exploits or harms minors in any way, including grooming

6.3 Fraud, Deception & Misrepresentation

• Impersonating any person, organisation, or entity
• Creating or distributing disinformation that adversely affects public interest, including false information about health, safety, elections, or civic participation
• Identity spoofing or falsifying the source of communications
• Operating fake accounts or engaging in automated inauthentic activity
• Phishing, social engineering, or other fraudulent schemes

6.4 Privacy Violations

• Harvesting, collecting, or publishing personal or private information without proper consent
• Collecting personally identifiable information of minors
• Unlawful tracking, surveillance, or persistent monitoring of individuals

6.5 Spam & Unsolicited Communications

• Transmitting unsolicited bulk or commercial messages
• Using the App to facilitate or enable the sending of spam

6.6 Security & System Integrity

• Attempting to gain unauthorised access to any service, device, data, account, or network
• Disrupting or impairing the App or other users' access to it
• Conducting or enabling denial-of-service attacks
• Creating or distributing malware, exploits, or tools designed for malicious purposes
• Reverse engineering, decompiling, or disassembling any part of the App
• Circumventing or tampering with billing, security, or access control mechanisms

6.7 AI-Specific Restrictions

• Making consequential decisions impacting individuals' legal, financial, or employment status without appropriate human oversight
• Deploying subliminal or manipulative techniques designed to cause harm
• Exploiting vulnerabilities of individuals due to age, disability, or socio-economic circumstances
• Using AI outputs for social scoring, discriminatory profiling, or criminality assessment
• Creating erotic or romantic chatbot interactions, or creating personas of real individuals without their consent
• Building or expanding facial recognition databases through scraping
• Inferring sensitive personal attributes (race, religion, political opinions, sexual orientation) without explicit consent

7. Intellectual Property

All intellectual property rights in the App, including but not limited to software, design, text, graphics, and trademarks, belong to AI SEO Software Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes in accordance with these Terms and the App Store terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AI SEO Software Ltd, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the App.

The App is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the App will be uninterrupted, secure, or error-free. We are not responsible for the content generated by AI models or any downstream effects of AI-generated output. You acknowledge that AI-generated content may be inaccurate, incomplete, or inappropriate, and you are solely responsible for reviewing and validating any output produced by the App.

In no event shall our total aggregate liability exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless AI SEO Software Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the App, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to a violation of these Terms or our prohibited activities policy. Upon termination, your right to use the App ceases immediately. Any unused credits at the time of termination for cause are forfeited and non-refundable.

You may close your account at any time by contacting us at support@helperone.ai or by deleting the App and requesting account deletion.

11. Apple App Store Terms

The following additional terms apply to the extent the App is accessed through or downloaded from the Apple App Store:

• These Terms are between you and AI SEO Software Ltd only, and not with Apple Inc. (“Apple”). AI SEO Software Ltd, not Apple, is solely responsible for the App and its content.
• Your licence to use the App is limited to a non-transferable licence to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.
• AI SEO Software Ltd is solely responsible for providing any maintenance and support services for the App. Apple has no obligation to provide any maintenance or support services.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• AI SEO Software Ltd, not Apple, is responsible for addressing any claims relating to the App, including but not limited to product liability claims, any claim that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, AI SEO Software Ltd, not Apple, shall be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the email associated with your account or through a notice in the App. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
